Issuer’s history and business
The Issuer was established through the transformation of the limited liability company Live Motion Games sp. z o.o. into the joint-stock company Live Motion Games S.A. The Issuer’s legal predecessor Live Motion Games sp. z o.o. with its registered office in Warsaw was established on 3 April 2017. The company’s founders included Michał Kaczmarek and Jakub Trzebiński.
The company’s core business is the production and publication of PC games sold via the platform Steam on the global markets. The Issuer focuses on the production of simulators, city-builder, survival, and other games. The company is expecting to phase out its business as a service provider and sub-contractor in game production and to focus instead on the proprietary production and publication business with the support of the main shareholder, PlayWay S.A.
The Issuer is an affiliate and group member of PlayWay S.A. The shareholder PlayWay S.A. holds 622,500 shares of the Company representing 42.74% of the Issuer’s share capital, giving 622,500 votes i.e. 42.74% of the total vote.
Business strategy
The Issuer’s key strategic goal for the coming years is to increase the scale of its business by developing a diversified portfolio of quality computer games and by expanding the production and publication of PC games within the budget range from PLN 100,000 to PLN 1,000,000 while attaining and maintaining high operating profitability. The overarching strategic objective is to grow the Company’s value by generating above-average gains on sales of medium-budget games.

The Issuer’s share capital according to its entry in the Company Register is PLN 145,650 divided into 1,456,500 ordinary bearer shares with a nominal value of PLN 0.10 per share including:
- 1,337,500 series A ordinary bearer shares with a nominal value of PLN 0.10 per share,
- 29,000 series B ordinary bearer shares with a nominal value of PLN 0.10 per share,
- 90,000 series C ordinary bearer shares with a nominal value of PLN 0.10 per share.
Offering of series C shares and sale of series A shares
90,000 series C ordinary bearer shares with a nominal value of PLN 0.10 per share were taken up in the subscription. 15,000 series A ordinary bearer shares with a nominal value of PLN 0.10 per share were taken up in the sale.
The reduction rate was approx. 19.6%.
The subscription opened on 4 March 2021 and closed on 17 March 2021. The shares were allotted on 19 March 2021.
90,000 series C shares and 15,000 series A shares were taken up at the issue price and at the selling price, respectively, equal to PLN 45.00 per share. The series C shares and the 15,000 series A shares were allotted to 173 investors.
