Issuer’s history and business

Woodpecker.co S.A. was established through the transformation of the limited liability company Woodpecker.co spółka z o.o., entered into the business register of the National Court Register on 18 June 2015. The joint-stock company was entered into the National Court Register on 28 April 2021.

Woodpecker is a SaaS (Software-as-a-Service) producer and supplier. The software, which automates client acquisition and facilitates sales, is sold as a subscription service available online in the cloud. The Issuer’s product is used by business owners and sales teams as an assistant specialising in multichannel communications with prospective and existing clients. The Woodpecker application helps users to plan and implement smart sequences including news, follow-ups and manual tasks in sales campaigns carried out by email, in the social media and by phone. The Company’s service is addressed to all companies which need to establish B2B (business-to-business) relations in order to attract new clients and maintain relations with their existing client base. The application allows users to optimise resources invested in client acquisition and to generate additional sales. The service offered by the Company also improves client retention.

Public offering of series A shares

A public offering of the Issuer’s shares was carried out from 20 May to 11 June 2021. The Offering Agents (Tar Heel Capital Pathfinder MT Limited, Maciej Cieśla, Kinga Tarczyńska, Radosław Czyrko, Artur Listwan) offered between 733,333 and 916,667 series A ordinary bearer shares.

The Investment Firm in the offering was Dom Maklerski INC S.A.

The offering covered all outstanding shares, i.e., 916,667 shares at a price of PLN 12 per share in a total amount of PLN 11 million.

The shares were taken up by 123 natural persons and 6 legal persons (including 2 investment funds whose 8 sub-funds took up shares). All the shares were paid for in cash by bank transfer.

Shareholders’ transactions in shares subject to the application for introduction in the last 12 months

There were 10 transactions of existing shareholders in 250,133 shares of the Company at prices of PLN 0.10, PLN 3 and PLN 12 from 29 April 2021 to 23 July 2021.
