Issuer’s history and business

Longterm Games Spółka Akcyjna was founded in June 2020 on the initiative of Albert Rokicki, Robert Ogłodzinski and Adrian Przybylski.

Longterm Games S.A. is an independent development studio specialising in the creation of original games for personal computers and older and newer generation gaming consoles, i.e., PlayStation, Xbox and Nintendo Switch.

The Company’s first product is the game “Space Tail: Every Journey Leads Home”. It is a puzzle platform game in the science-fiction genre, filled with puzzles. It is addressed to mid-core gamers, i.e., those who appreciate good fun and engaging, challenging gameplay. In addition to arcade elements typical of platformers, it also offers plenty of logic puzzles.

At the heart of the game is an original, mature story that deals with universal values and the condition of humankind and draws on such classic works of literature as “The Little Prince” and “The Divine Comedy”, as well as drawing inspiration from the fiction by authors such as Philip K. Dick.

The Issuer holds shares in three entities: Covenant.dev S.A., Enjoy Studio S.A., Rune Powered S.A.

The Issuer holds 59,459 shares in Covenant.dev S.A., i.e., 4.14% of the share capital. Covenant.dev S.A. is an independent Polish studio in the GameDev industry, engaged in the production of unique and original games. The company specialises in creating high-value game concepts known as Vertical Slices.

Public offering of series B shares

The public offering of the Issuer’s series B shares was conducted from 27 August 2020 to 9 October 2020.

Under the Offering, all shares, i.e., 200,000 shares, were taken up at a price of PLN 12.50 per share, i.e., with a total value of PLN 2,500,000.00. 

The shares were taken up by 63 natural persons and 1 legal person.

Public offering of series C shares

The public offering of the Issuer’s series C shares was conducted from 6 May 2021 to 5 July 2021.

Under the Offering, all shares, i.e., 86,300 shares, were taken up at a price of PLN 23.00 per share, i.e., with a total value of PLN 1,984,900.00. 

The Series C shares were allotted to 53 investors (including 50 natural persons and 3 legal persons).

Shareholders

All series A, B, C shares issued by the Company will be listed in the alternative trading system on the NewConnect market.
