New listing of PLOT TWIST S.A. on NewConnect

PLOT TWIST S.A. was newly listed on NewConnect on 26 September 2023.

Issuer’s history and business

Plot Twist S.A. launched its business in the gaming industry in 2013 as the limited liability company “Awesome Industries”. The company’s development started with the production of low-budget mobile games, including commissioned work in the white label format.

The Company’s first major in-house production is the Drift Zone game series which had its release in 2014.

Between 2014 and 2020, the Company’s work focused on the development of commissioned titles and work on its own game Drift Zone. In 2018, the Issuer released the game Drift Zone 2 for smartphones. A similar title for which the Company holds full rights is Drift Zone Arcade. This is a version of Drift Zone for Nintendo Switch consoles, which was released in April 2020. Subsequently, in May 2020, the Company released the game Tacticool Champs for Nintendo Switch, Playstation 4 and Xbox One.

The Issuer has been operating as an independent development studio since 2020 with a particular focus on the creation of original video games.

Since 2020, the company has developed its first own indie game “The Last Case of Benedict Fox”. The game was released on Xbox One, Xbox Series X|S and PCs on 27 April 2023. The Issuer has entered into an agreement with Microsoft Corporation to add the premiere game to the Xbox Game Pass service for Xbox and PC. The publishing functions (other than Xbox) have been taken over by the global game publisher Rogue Games Inc. The Issuer is currently working on game development and post-release support.

Participation in the GamePass programme is equivalent to sales in excess of 100,000 units of “The Last Case of Benedict Fox” on Microsoft-owned platforms.

1,257,861 series C shares – public offering

The public offering of series C shares opened on 17 November 2021 and closed on 2 December 2021.

Series C shares were taken up by 24 entities.

The issue price of the shares was PLN 1.59.

Value of the offering: PLN 1,999,998.99

503.145 series D shares – private placement

A private placement of series D shares of the Issuer took place on 22 May 2022. The shares were offered to 1 natural person, Mr Łukasz Adam Biegun, a significant Shareholder and Chairman of the Issuer’s Supervisory Board.

The issue price of the shares was PLN 1.59.

Value of the offering: PLN 800,000.55

1,176,470 series E shares – public offering

The public offering of series E shares opened on 20 June 2022 and closed on 23 September 2022.

Series E shares were taken up by 33 entities.

The issue price of the shares was PLN 2.38.

Value of the offering: PLN 2,779,998.60
