Issuer’s history and business
The company QUANTUM S.A. with its registered office in Warsaw was incorporated on 31 October 2012.
The Extraordinary General Meeting of QUANTUM S.A. on 10 August 2020 adopted, among others, a resolution amending the Articles of Association of the Company including the change of the name of the company to ConsoleWay S.A. and changes in the subject of the Issuer's activity.
ConsoleWay S.A. operates in the video games sector and specialises in the development of game ports for consoles (Nintendo Switch, PlayStation 4, PlayStation 5, Xbox Series and Xbox One).
Ultimate Games S.A., a significant shareholder of the Issuer, is listed on the regulated market of the Warsaw Stock Exchange S.A. and develops video games for the most popular platforms.
The Issuer offers its porting services in exchange for a fee. A large number of projects originate from Ultimate Games S.A.; in exchange for porting, the Company is entitled to a commission as a share of the revenue from the sale of the game (Ultimate Games S.A. is the publisher for the games), and the costs of porting are most often borne by ConsoleWay S.A.. In addition, the Company offers porting on a fixed fee basis. In this business model, the Issuer receives payment for porting as well as sales royalties once a sales threshold is exceeded.
The Company's first game for Nintendo Switch “Paint Your Pet” was released on 31 July 2020.
The Issuer's first Xbox One game “Nubarron: The Adventure of an Unlucky Gnome” was released on 23 December 2020.
The Issuer's first PlayStation 4 game “Selma and the Wisp” was released on 25 June 2021.
The Company's business model also includes individual sourcing and negotiating with game developers from around the world to acquire games for porting. This has resulted in the acquisition of a number of foreign titles such as Danger Gazers, Dead Ground and Bus Driver Simulator. However, the Company is currently focusing on porting significant titles from the PlayWay Group and the Ultimate Games Group.
The Issuer has started pre-production of its own PC game “Crown of Greed”, with a demo (internal vertical slice) planned for Q1 2024. This title has been rebranded, with the project's previous name being “King's Reign”. The production is being developed by the award-winning company Blum Entertainment sp. z o.o., based in Warsaw, and the Issuer will be the publisher of the game.
