The Management Board of MBF Group S.A. with its registered office in
Warsaw _the 'Issuer', 'Company'_, with reference to ESPI current report
No. 30/2025 of 17 July 2025, hereby announces that the Parties have
mutually agreed to terminate the Contract covering the supply of ICUMSA
45 food sugar to Gołębiewski Holding Sp. z o.o. _TAGO branch_, and to
switch to a cooperation model based on current orders and deliveries
carried out on a successive basis.
The decision results from significant fluctuations in sugar prices in
recent months and the variable availability of batches meeting the
required quality parameters. In the opinion of the Parties, the model of
current orders better secures cost flexibility and operational
stability, allows for the adjustment of volumes to actual production
needs and enables a more efficient response to market changes, while
maintaining continuity of supplies to the TAGO plant.
The Issuer's Management Board informs that since the commencement of
cooperation with Gołębiewski Holding Sp. z o.o., it has delivered goods
with a total value of approximately PLN 422,000 _in words: four hundred
and twenty-two thousand zlotys_. The Issuer's goal is to at least
maintain the current dynamics of deliveries under the new cooperation
model and to further expand it depending on the customer's needs and
market conditions.
The parties maintain their willingness to continue commercial
cooperation, and subsequent deliveries will be agreed on an ongoing
basis in terms of price, quality parameters and delivery schedule.
The Issuer considers this information to be confidential within the
meaning of Article 17_1_ of MAR due to its significance for the revenue
structure and maintaining relations with a key customer in the food
segment.
