The Management Board of Proguns Group S.A., with its registered office in Warsaw _the "Issuer"_, hereby announces that on [date], the Issuer entered into a Cooperation Agreement _the "Agreement"_ with MATSYS, Inc., a company incorporated and operating under the laws of the State of Virginia _USA_, with its registered office in Sterling, VA. The purpose of the Agreement is to establish a long-term, mutually beneficial cooperation in the fields of development, production, and commercialization of defense technologies, advanced materials, and related applications. Under the terms of the Agreement, the parties intend to jointly implement research and development projects, pursue commercialization of innovative technologies, jointly apply for projects under government programs such as the European Defence Fund, and cooperate particularly in the areas of engineering, supply chain coordination, and technology transfer. The Agreement is of a framework nature, meaning that the detailed terms of cooperationspecifically the scope of R_D work, deliveries, rules governing the use and protection of intellectual property rights, as well as remuneration and settlement matterswill be defined in separate written orders or contracts signed by both Parties and forming an integral part of their cooperation. The Agreement defines the principles for developing, using, protecting, and commercializing intellectual property, covering both the technologies jointly developed under the projects and the pre-existing technologies, technical know-how, and data of each Party. Each Party retains full ownership of its existing technology, knowledge, and materials, while enabling the other Party to cooperate in the joint development and commercialization of new technological solutions, in accordance with the provisions of separate orders or contracts. Pursuant to the Agreement, any transfer of technology, technical data, software, or defense- or dual-use-related information will be carried out in full compliance with the applicable laws of the United States of America, the Republic of Poland, and the European Union, in particular with regard to export control regulations and information security requirements. The Agreement has been concluded for a period of three _3_ years. Each Party may terminate the Agreement with 90 days' prior written notice; however, termination shall not affect the validity or performance of any existing orders concluded under the Agreement. Furthermore, the Agreement may be terminated with immediate effect by either Party in the event of a breach of its key provisions, particularly those concerning export control or anti-corruption regulations. The conclusion of this Agreement constitutes an important milestone in the Issuer's strategy of development in the field of advanced defense technologies and materials. Cooperation with MATSYS, Inc. provides the Issuer with access to cutting-edge technologies and know-how and strengthens its position within the international defense industry supply chain. The execution of the Agreement also reflects MATSYS, Inc.'s positive assessment of the Issuer's potential and competencies, as the Issuer continues to expand its capabilities in the field of innovative defense and material technologies. Cooperation focused on joint R_D projects and the commercialization of advanced technological solutions, including within programs such as the European Defence Fund, may lead to the acquisition of new commercial contracts and an increase in the Issuer's revenues in future periods.
