The Management Board of Binary Helix S.A. _the "Issuer", the "Company"_
hereby announces that on 3 December 2025 the Issuer signed a letter of
intent with ENFOR LLC, with its registered office in Atlanta, United
States of America, expressing the Parties' intention to establish
cooperation under which ENFOR LLC, its affiliated or partner entities
are to represent the Issuer in the territory of the United States of
America and offer to public and private sector entities the Company's
products and technologies, including advanced inspection dronoids as
well as NeuronLink systems.
The Parties intend to set out the detailed terms and conditions of their
cooperation in a separate partnership agreement. The Issuer will provide
information on the conclusion of such agreement in a separate current
report, immediately after its execution.
The Management Board of the Issuer has decided to publish this
information on the grounds that, in its opinion, it may have a material
effect on the Issuer's future asset, financial and economic situation,
as well as on the valuation of the Company's financial instruments
traded in the alternative trading system on the NewConnect market.
