The Management Board of Proguns Group S.A., with its
registered office in Warsaw _the "Issuer"_, hereby announces that on 16
January 2026 the Issuer entered into a share subscription agreement with
Fabryka Amunicji Pocisk S.A., with its registered office in Warsaw _the
"Company"_, regarding the subscription of Series B shares of the Company.
Pursuant to the share subscription agreement, the
Issuer subscribed for 313,000 Series B ordinary bearer shares of the
Company in exchange for a cash contribution in the total amount of PLN
19,002,230.
The Issuer explains that the subscription of the
Company's Series B shares by the Issuer constitutes the implementation
of the provisions of the investment agreement concluded between Forum
119 Closed-End Investment Fund, Niewiadów Polska Grupa Militarna S.A.,
Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o., Fabryka Amunicji
Pocisk S.A., and the Issuer, as disclosed by the Issuer in current
report ESPI No. 3/2026 dated 16 January 2026.
