The Management Board of MBF Group S.A. with its registered office in Warsaw _the 'Company', 'Issuer'_ hereby announces that on 2 February 2026, a final and binding payment order issued in electronic writ-of-payment proceedings by the District Court for Lublin-Zachód in Lublin, 6th Civil Division, in the case brought by the Company against Finezia Sp. z o.o. with its registered office in Warsaw, was endorsed with an enforcement clause. The payment order includes the obligation to pay the Company the amount of PLN 17,461.32 together with statutory interest for delay and reimbursement of the costs of the proceedings. On 3 February 2026, acting on the basis of the enforcement title obtained, the Company filed a motion with the competent court enforcement officer to initiate enforcement proceedings against Finezia Sp. z o.o., including enforcement to the full extent permitted by law, including bank accounts, receivables and other assets of the debtor, as well as activities aimed at determining its assets. For a complete and accurate presentation of the course of the proceedings, the Company's Management Board indicates that on 24 September 2025, the Issuer filed a claim for payment against Finezia Sp. z o.o. in electronic writ-of-payment proceedings before the District Court for Lublin-Zachód in Lublin, VI Civil Division, and the case was assigned the reference number VI Nc-e 1472773/25. On 12 December 2025, a payment order was issued in the case, upholding the Company's claim. The payment order was delivered to the defendant by substitute delivery, and the deadline for filing an objection expired without effect in January 2026, as a result of which the ruling became final. The Company's Management Board considers it reasonable to point out that the publication of this report is also related to the need to clarify the information concerning the relationship between the Issuer and Finezia Sp. z o.o., which in the period preceding the obtaining of the enforcement title was the subject of numerous, unauthorised and untrue reports made by persons associated with Finezia Sp. z o.o. to the media, supervisory authorities, the Warsaw Stock Exchange and law enforcement authorities. These reports resulted in the initiation of an internal investigation conducted by the Issuers Department of the WSE, which, as can be assumed, temporarily affected the WSE's level of trust in the Company. At the same time, the Management Board emphasises that all notifications addressed to law enforcement authorities were legally discontinued in 2025 due to the lack of any grounds for allegations of law violations. In light of the final decision of the civil court and the Company obtaining an enforcement title, the Management Board clearly indicates that the only entity harmed in the relations between the Issuer and Finezia Sp. z o.o. is MBF Group S.A., which is formally and objectively confirmed by the final payment order issued in favour of the Company. The publication of this report is intended to provide the market with complete, reliable and structured information on the conclusion of the court proceedings, the current legal status of the Issuer's claims and the final resolution of circumstances which in the past affected the assessment of the Company's situation by market participants.
