The Management Board of MBF Group S.A. with its registered office in Warsaw _the "Issuer," "Company"_ hereby announces that on February 18, 2026, the Issuer entered into a non-exclusive dealer cooperation agreement _'Agreement'_ with Shark Aviation Dansmanlik Sanayi ve Ticaret Limited Sirketi with its registered office in Konya, Republic of Turkey _"Shark Aviation"_. The conclusion of the above agreement is a consequence of the non-disclosure agreement _NCNDA_ signed by the Parties on February 17, 2026, which established the legal framework for the exchange of technical, commercial, and operational information in connection with the analysis of cooperation opportunities. The NCNDA sets out the rules for the protection of confidential information, including technical documentation, know-how, and design data, as well as issues of compliance with export regulations. The signing of the representation and authorization agreement is a direct consequence of the arrangements made on the basis of the above agreement. Under the agreement, the Issuer has obtained the status of a non-exclusive authorized representative and dealer of Shark Aviation products in the territory of the Republic of Poland, with the possibility of extending cooperation to other agreed areas. The agreement regulates the rules for the promotion, distribution, and sales support of the partner's products and technological solutions, as well as the framework for cooperation in the field of marketing, system presentations, and institutional and industrial customer service. The parties anticipate ongoing cooperation in the field of joint promotional and demonstration activities and the mutual development of civil and dual-use projects. Shark Aviation is a technology company operating in the unmanned aerial vehicle _UAV_ sector, offering its own drone platforms, proprietary flight control systems _Flight Control Unit_, mission planning and management software, as well as integration, maintenance, and training services for UAV operators. The company positions itself as a provider of comprehensive solutions covering both hardware and software, developing applications in the areas of industry, precision agriculture, infrastructure inspection, and specialized applications. The Company's Management Board announces that the Agreement will be implemented immediately, in particular in the context of planned promotional activities related to the upcoming Drone World Expo 2026, during which the Issuer intends to present its partner's solutions as part of its consortium's technological projects _Iryda Plus, Mallard, Ares_. The Issuer's Management Board assumes that the cooperation may contribute to strengthening the Company's position in the unmanned technology segment and expanding the portfolio of solutions offered. At the same time, the Issuer announces that preliminary talks are underway regarding Shark Aviation's potential participation in the commercialization of the Iryda Plus system on the Turkish market. The Issuer will announce any strategic or financial agreements in this regard in a separate current report, in accordance with applicable laws and MAR regulations. The Issuer's Management Board considered the information on the conclusion of the agreement in question to be confidential due to its significance for the further development of the Company's operations in the unmanned technology segment and its potential impact on the Issuer's economic situation.
