The Management Board of MBF Group S.A. with its registered office in Warsaw _the 'Issuer'_ hereby announces that on 4 March 2026, the Issuer entered into a framework cooperation agreement in the form of a Framework Letter of Intent and Strategic Cooperation Agreement _the "Agreement"_ with ARKA Aerospace Private Limited with its registered office in Hyderabad _Republic of India_ _the 'Partner'_. The document was signed during the Drone World Expo 2026 industry event in Warsaw. The subject of the Agreement is to define the principles of potential cooperation in the areas of unmanned aerial vehicle _UAV_ technology, counter-unmanned aerial vehicle _C-UAS_ systems, electronic jamming resistance systems and selected dual-use solutions. The Agreement is of a framework and intent nature. The implementation of operational, technological or commercial projects will require the conclusion of separate annexes or executive agreements specifying the detailed terms and conditions of cooperation. Arka Aerospace Private Limited is a technology company focusing on advanced aviation technologies and unmanned aerial vehicles. The company's offering includes solutions covering innovative UAV designs, interference-resistant communication modules, counter-unmanned aerial systems _C-UAS_ and smart munitions components. ARKA is a technology spin-off of the research and development ecosystem supported by the Centre for Innovation and Entrepreneurship at IIIT Hyderabad. In accordance with the provisions of the Agreement, the cooperation may include, in particular, joint integration analyses of both parties' technologies, exchange of research and development experience, assessment of system interoperability, preparation of joint bids in tender procedures, and development of selected dual-use products and solutions. The parties envisage the possibility of expanding the scope of cooperation by concluding further project and commercial annexes, which will specify detailed technical conditions, division of responsibilities, intellectual property rules, commercialisation model and possible financial conditions. The agreement also allows for the analysis of the possibility of creating joint operational structures or capital ventures in the future, with the implementation of any project being subject to separate business decisions and compliance with regulatory requirements in the relevant jurisdictions. The conclusion of the Agreement is in line with the Issuer's strategy of developing international technological relations in the segment of unmanned systems and solutions in the field of security and dual-use technologies. The Indian market, as one of the largest demographic markets in the world and a country modernising its technological and defence capabilities, is an area of potential long-term importance in the context of industrial and integration cooperation. Further stages of cooperation that could have significant operational or financial implications will be subject to separate corporate decisions and communicated in accordance with applicable law. The Management Board considered the publication of this report to be justified due to the international nature of the Agreement and its connection with the Issuer's development strategy in the area of unmanned technologies and security. Information about the establishment of cooperation with a technology entity from the Indian market may be important for investors when assessing the directions of the Issuer's foreign expansion.
