The Management Board of MBF Group S.A. with its registered office in Warsaw _the 'Issuer', "Company"_ hereby announces that on 4 March 2026, the Issuer entered into a Letter of Intent with DEFENCE.HUB S.A. with its registered office in Warsaw _the 'Partner'_ a Letter of Intent regarding technological cooperation in the field of counter-unmanned aerial vehicle _C-UAS_ systems and the integration of artificial intelligence-based solutions _the 'Document'_. The purpose of the Document is to define the framework for cooperation in the development, integration and commercialisation of C-UAS technology, in particular in the context of the IRYDA Plus project - an unmanned hard-kill C-UAS interception system developed by the Issuer -kill C-UAS, implemented in the form of an industrial and technological consortium, in which the Issuer acts as the leader and system integrator. The Document confirms the Parties' willingness to conduct advanced technical analyses, interoperability tests and conceptual work, which may form the basis for further stages of commercialisation of solutions in Poland and abroad. At the same time, the Issuer's Management Board informs that, regardless of the above, the scope of potential cooperation also includes the analysis of the integration of artificial intelligence algorithms, computer vision systems, autonomous decision-making systems and multi-modal sensor fusion solutions, including C2 _Command _ Control_ systems. The parties allow for the possibility of joint participation in domestic and international projects, grant initiatives, research and development programmes, and tender procedures in the security and defence sector. If the analyses and tests yield positive results, the cooperation may be extended by separate implementation agreements specifying the commercialisation model, division of operational roles and financial rules. The Company's Management Board believes that cooperation with the Partner may strengthen the Issuer's design and integration capabilities in the C-UAS systems segment. In accordance with the provisions of the Document, each Party retains the intellectual property rights it held prior to its signing, and any solutions developed jointly will require separate arrangements. The Document contains binding provisions on confidentiality and the protection of sensitive information, taking into account the regulatory obligations applicable to public companies and the specific nature of projects related to security and critical infrastructure. As at the date of publication of this report, the Document does not have a direct impact on the Issuer's financial situation and does not create any financial obligations for either Party. Any further stages of cooperation that could be of significant operational or financial importance will be subject to separate corporate decisions and communicated in accordance with applicable law. The Issuer's Management Board decided to publish this report pursuant to Article 17_1_ of the MAR Regulation, considering that the conclusion of the Letter of Intent with the Partner in the area of strategic C -UAS and AI, constitutes confidential information that may have a potential impact on investors' assessment of the Issuer's development prospects and on the price of its financial instruments.
