The Management Board of MBF Group S.A. with its registered office in Warsaw _the 'Issuer', "Company"_ hereby announces that on 9 March 2026, the Issuer signed, as the second party, a framework agreement entitled 'Framework Representation and Authorisation Agreement' with Jiangxi Zhongke Zhipeng IoT Technology Co., Ltd. with its registered office in Beijing, People's Republic of China, operating under the trade name SPBATC _'SPBATC'_ _'Agreement'_. The Agreement is a continuation of the cooperation initiated by the signing of a non-disclosure agreement _NDA_ by the Parties on 20 January 2026 and formalises the next stage of business and technological discussions between the Parties. The confidentiality agreement was not classified by the Issuer as confidential information within the meaning of Article 17_1_ of the MAR Regulation and, therefore, was not the subject of a separate current report. The agreement defines the framework for cooperation in the field of commercial representation, marketing and business development of SPBATC products in the territory of the Republic of Poland. On the basis of this agreement, the Issuer has obtained the status of an authorised representative and business development partner of the manufacturer, authorised to promote, present and initiate commercial projects related to SPBATC technological solutions _e.g. during industry events and defence and security trade fairs, in particular subsequent editions of Drone World Expo in Warsaw and the International Defence Industry Exhibition MSPO in Kielce_. The Issuer is also authorised to conduct marketing activities, initiate commercial contacts, prepare non-binding offers and identify potential institutional and commercial customers, but the final commercial terms and conditions require the manufacturer's approval in each case. Jiangxi Zhongke Zhipeng IoT Technology Co., Ltd. _SPBATC_ is a technology company operating in the field of security systems and anti-unmanned aerial vehicle technology. The company conducts research and development and manufacturing activities in the field of drone detection, identification and neutralisation systems, including radar solutions, radio frequency _RF_ detection and analysis platforms, mobile and stationary jamming systems, as well as command and security analytics software. According to available information, the company develops technologies based on its own research and development facilities and cooperation with scientific entities, including centres affiliated with the Chinese Academy of Sciences. SPBATC has a portfolio of several dozen patent applications and copyrights related to drone detection and countermeasure technologies. The Issuer's Management Board indicates that cooperation with SPBATC may be important both for the development of the Company's own technological projects, in particular solutions in the area of anti-drone systems and low-altitude airspace protection, as well as for the expansion of the Issuer's activities as a distribution channel and integrator of selected technological systems on the European market. In particular, the potential integration of radio signal detection and analysis technology with the unmanned solutions and drone defence systems developed by the Issuer may enable the construction of more comprehensive security systems comprising both detection components and active threat neutralisation elements. The Issuer intends to proceed without delay with preparatory activities related to offering SPBATC solutions on the Polish market, including the preparation of a dedicated product offer and information materials on the Company's website. The agreement was concluded for a period of 12 months with the possibility of automatic renewal for subsequent annual periods, unless either party terminates it with the notice period specified in the agreement. The detailed commercial terms and conditions of individual projects, including any terms and conditions of distribution, technological integration or participation in pilot projects, will be subject to separate agreements between the parties. The Company will be entitled to a commission paid by the manufacturer in accordance with the rules set out in the Agreement. In addition, the Agreement provides that service, after-sales support and possible integration of SPBATC technology with projects developed by the Issuer will be subject to separate agreements and contracts. The cooperation between the Parties shall be subject to compliance with applicable laws, including regulations on export control, dual-use goods and compliance rules applicable to the Issuer as a public company. The Issuer's Management Board has deemed the information on the conclusion of the Agreement to be confidential within the meaning of Article 17_1_ of the MAR Regulation due to its potential significance for the development of the Company's activities in the area of C-UAS technology and its possible impact on the development of the Issuer's activities as a technology and distribution partner in the low-altitude air security systems sector.
