The Management Board of MBF Group S.A. with its registered office in Warsaw _the 'Issuer', 'Company'_ hereby announces that in connection with ongoing development activities in the field of unmanned technologies and the implementation of the IRYDA Plus unmanned interception system project, the Issuer has commenced the process of obtaining financing within the remaining part of the target capital provided for in the Company's Articles of Association. As at the date of publication of this report, the Company is in talks with individual investors and has received preliminary written declarations to subscribe for new shares in the event that the Management Board decides to increase the share capital within the target capital. The discussions conducted by the Company to date and the declarations received from investors indicate a noticeable interest in participating in the financing of the IRYDA Plus project, which, in the opinion of the Management Board, has the potential for development both on the domestic market and in international projects implemented by the Issuer. Pursuant to §7d of the Company's Articles of Association, the Management Board is authorised to increase the share capital within the authorised capital by issuing new ordinary bearer shares. The issue price of shares issued within the authorised capital is determined by the Management Board in a resolution on the increase of the share capital and requires the prior consent of the Supervisory Board. The Management Board is considering conducting the first round of financing under the above authorisation in the form of a share issue addressed to selected individual investors interested in the long-term development of the Company. The planned value of this round of financing is not less than PLN 2,000,000 _two million zlotys_. It is initially assumed that the issue price of the new shares will be determined in relation to the average market price of the Company's shares in the last months preceding the issue, with a discount applied in accordance with market practice and with the consent of the Supervisory Board. The funds raised are to be used in particular for the further development of the IRYDA Plus project - an unmanned interception system designed to neutralise threats from unmanned aerial vehicles. This project is one of the key directions of the Issuer's technological development in the area of unmanned systems and C-UAS solutions. The planned issue is the first stage of financing the IRYDA Plus project. At the same time, the Company is in talks with institutional and industry investors regarding the next stages of financing the Company's technological projects, which, if finalised, may constitute a further stage in building the Issuer's value and preparing the Company for the next stage of development on the capital market. As part of the above-mentioned financing round, the Issuer's goal will be to raise an amount of not less than PLN 20,000,000 _twenty million zlotys_. The parties conducting the talks and negotiations agree that the budget should ensure the construction of a fully functional and armed version of the IRYDA Plus system. At the same time, the Issuer's Management Board indicates that, as part of the talks with potential institutional investors, a third, target stage of financing for the IRYDA Plus project is also being considered, which would include the construction of a full-scale demonstrator of the system in an operational configuration. The assumed scope of such a project would include, in particular, a package of three fully functional and armed C-UAS IRYDA Plus systems, ground control stations for pilots, a training package for operators, and warranty and service support. In the opinion of the Management Board, the implementation of such a stage could be a significant step towards the commercialisation of the technology and the preparation of the Company for the next phase of capital development, including a potential transition from the NewConnect market operated by the Warsaw Stock Exchange to the regulated market, with the participation of an institutional or industry investor. This stage of the project involves the development of a complete system solution covering both unmanned platforms and operational and training infrastructure, which, in the opinion of the Management Board, may form the basis for further commercialisation of the IRYDA Plus technology in domestic and international projects. As at the date of publication of this report, no binding investment agreements have yet been concluded, and the final decision on the share issue and its terms and conditions will be made by the Management Board and the Supervisory Board after analysing market conditions and obtaining the required corporate approvals. The Issuer's Management Board has deemed the above information to be confidential within the meaning of Article 7 and subject to publication in accordance with Article 17_1_ of the Market Abuse Regulation.
