The Management Board of MBF Group S.A., with its registered office in Warsaw _"the Issuer", "the Company"_, announces that on 20 March 2026, the Issuer entered into a consortium agreement for technological cooperation, joint bidding and the commercialisation of solutions in the field of security and dual-use technologies _"Agreement"_ with a foreign technology partner based in Tallinn _Estonia_, operating in conjunction with an affiliated entity based in Kharkiv _Ukraine_ _collectively, the "Technology Partner"_. The Technology Partner's details have been anonymised due to applicable confidentiality obligations and the protection of the Parties' commercial interests. The conclusion of the Agreement constitutes a continuation of the cooperation initiated by the Parties' signing of a Non-Disclosure Agreement _NDA_ and a Memorandum of Understanding _MoU_, as reported by the Issuer in Current Report No. 14/2026 of 19 March 2026. The subject matter of the Agreement is to define the rules of cooperation within the consortium regarding the joint preparation of tenders, implementation and commercialisation of completed projects and solutions in the field of security technology, including solutions serving, amongst other things: battlefield security, border security, critical infrastructure protection, detection systems and dual-use technologies. In accordance with the provisions of the Agreement, the parties shall cooperate in the preparation of tenders and the implementation of projects, with MBF Group being responsible for organisational and regulatory activities on the Polish side, and the Technology Partner for the technological aspects within the scope agreed upon by the parties on a case-by-case basis. The primary objective of establishing the consortium is to enable joint bidding for public contracts and participation in tender procedures requiring the involvement of an entity based in the Republic of Poland, whilst utilising the Technology Partner's advanced technological expertise. The Technology Partner possesses extensive technological and manufacturing facilities, including, amongst other things, its own electronics assembly lines and the capacity to scale up production. According to the information provided to the Issuer, the solutions covered by the cooperation have reached a technological maturity level of at least TRL7 and have been implemented and are being used in operational conditions, including as part of operations conducted by the armed forces of a country involved in an armed conflict. The Technology Partner supplies electronic components used in operational systems, which confirms its production capabilities and practical implementation experience _over 35,000 units of initiation electronics_. The solutions developed as part of the cooperation include, amongst others, sensor, communication and autonomous systems, enabling remote management of distributed security infrastructure based on encrypted communication networks, without the need to use external infrastructure. These technologies are used both in the civilian sector _protection of critical infrastructure, border monitoring_ and in specialist applications. At the same time, the Issuer notes that the development and commercialisation of such solutions are in line with current geopolitical conditions and the changing approach of some states towards the restrictions arising from the Ottawa Convention. Recently, certain countries have taken steps to revise or withdraw from its provisions, resulting in the need for rapid rebuilding or modernisation of defence capabilities. In the Management Board's view, this may create significant demand potential for technological solutions available at short notice, particularly those that have already been operationally tested and have proven production capabilities. In this context, the Issuer notes that, unlike projects at the technological development stage, the solutions being developed in cooperation with the Technology Partner are, to a significant extent, ready-made products that have been operationally tested and are prepared for implementation and commercialisation. This means they can be brought to market relatively quickly, without the need for the many years of research and development typical of new weapon systems. In the Management Board's view, in the context of dynamic geopolitical changes and the rebuilding of defence capabilities by certain countries, access to proven solutions that can be offered and delivered at short notice constitutes a significant competitive advantage. The conclusion of the Agreement enables the consortium members to participate directly in the tendering process and the potential sale of these solutions. In the Management Board's view, this may result in a shorter commercialisation pathway compared to standard technology projects. The Issuer hereby announces that the Parties are immediately commencing the preparation of a bid as part of one of the tender procedures relating to the area covered by the cooperation. Should a bid be submitted, the Issuer will provide relevant information in a separate current report, to the extent permitted by applicable confidentiality obligations, including those arising from the concluded NDA, and taking into account the legitimate legal and economic interests of the Parties. This cooperation constitutes a practical extension of the Issuer's existing business model, combining the commercial and brokerage activities it has been conducting for many years, which generate revenue, with the developing segment of technology projects and solutions for the security sector. In the Management Board's view, this may enable the relatively rapid introduction of ready-made technological products into the Company's offering and open up access to the public procurement segment in the field of defence and infrastructure protection. The Issuer's Management Board has classified the information regarding the conclusion of the Agreement as confidential due to its potential significance for the development of the Company's operations, particularly in the context of the possibility of participating in projects carried out on the domestic market and foreign markets.
