The Management Board of MBF Group S.A., with its registered office in Warsaw _"the Company", "the Issuer"_, hereby announces that it has been informed that on April 3, 2026, a final and binding order for payment issued in electronic summary proceedings by the District Court for Lublin-Zachód in Lublin, 6th Civil Division, in the case brought by the Company against Liberta Line Sp. z o.o. with its registered office in Gdańsk, case no. VI Nc-e 319284/25, was declared enforceable, which enables the Issuer to pursue enforcement of the debt. The payment order requires payment to the Issuer of the amount of PLN 193,723.92 _in words: one hundred ninety-three thousand seven hundred twenty-three zlotys 92/100_ together with statutory interest for delay calculated from September 28, 2024, until the date of payment, as well as the amount of PLN 2,422.00 _in words: two thousand four hundred twenty-two zlotys 00/100_ as reimbursement of litigation costs, together with statutory interest for delay from the date the payment order becomes final until the date of payment. Acting on the basis of the obtained enforcement title, the Company's Management Board filed a motion with the competent court enforcement officer to initiate enforcement proceedings against Liberta Line Sp. z o.o., covering the enforcement of the debtor's bank accounts, receivables, wages, movable property, and real estate, as well as actions aimed at determining the debtor's assets. Additionally, the Issuer's Management Board notes that presenting the chronology of the case is essential for a proper assessment of its course. On April 30, 2025, a payment order was issued granting the Company's claim. This order became final on May 23, 2025, as the defendant failed to file a valid objection. Despite the finality of the judgment, the enforcement clause was not issued until April 3, 2026, i.e., more than 10 months after the judgment became final. In the meantime, the defendant attempted to challenge the payment order by filing a late objection along with a motion to restore the deadline, which were definitively dismissed by a court clerk's order dated January 29, 2026. The failure to file an appeal against this order resulted in the definitive conclusion of the trial phase of the case and enabled the issuance of a writ of execution. The Company's Management Board also informs that in the event the debt, together with interest, is not effectively collected during the ongoing enforcement proceedings, the Company will take further legal action to protect its interests and the interests of its shareholders, to which the Management Board is obligated as a governing body of a public company. These actions may include, in particular, seeking liability from the members of the debtor's management board pursuant to Article 299 of the Commercial Companies Code, criminal proceedings in connection with the circumstances of the conclusion and non-performance of the agreement, as well as an analysis of pursuing claims for damages against the State Treasury in connection with the course of the court proceedings, including in the context of possible delays. The Management Board emphasizes that all actions taken will be conducted in a manner appropriate to the development of the situation and in accordance with applicable regulations and capital market standards. The total value of the claim, including the principal amount, litigation costs, and accrued statutory default interest, amounts to no less than PLN 226,000 _in words: two hundred twenty-six thousand zlotys_ as of the date of this report's publication and is subject to further increase by accruing interest until the date of payment. The Company's Management Board considers it appropriate to note that the prolonged period between obtaining a final payment order and the issuance of an enforcement clause was of significant importance from the perspective of safeguarding the interests of the Issuer and its shareholders, particularly in the context of the risk of the debtor disposing of assets. The Issuer emphasizes that the information provided is strictly factual and is based on final court rulings. The publication of this report is related to the obligation to provide the market with complete, reliable, and up-to-date information regarding the status of the Issuer's material claim and the actions taken to enforce it, which may affect the Company's financial position and investors' assessment of its operations.
