Execution of an Agreement for the Implementation and Operation of a
Validator on the Canton Network
The Management Board of BTCS S.A., with its registered office in Warsaw
_the "Issuer", the "Company"_, hereby announces that on April 7, 2026,
the Company entered into an agreement with IntellectEU NV, with its
registered office in Belgium, concerning the implementation and
operation of a validator on the Canton Network _the "Agreement"_.
The subject of the Agreement is to provide the Company with a
technological solution enabling the implementation, launch, and
management of a validator on the Canton Network. The Agreement includes,
in particular:
* preparation and implementation of the validator for the Company,
* operational management of the validator by the provider during the
initial phase of the project,
* support in preparing the Company to ultimately perform operational
tasks related to the validator independently.
The project will be carried out in stages, in accordance with the
implementation schedule and applicable technical, security, compliance,
and business continuity requirements. The Company assumes that it will
begin generating revenues from participation in the Canton Network
starting from the third quarter of 2026; however, this timeline is
indicative and depends on the progress of implementation and the
achievement of operational readiness. At the same time, the Company
indicates that the entitlement to receive network rewards is associated
with the operation of the validator in the MainNet environment, which
may result in the commencement of generating network rewards earlier
than the recognition of revenues from this source.
The Management Board of the Issuer has classified the above information
as inside information due to the significance of the Agreement for the
development of the Company's operational activities in the area of
blockchain infrastructure for institutions, as well as the potential
impact of the project on the Issuer's future revenues.
