The Management Board of B-Act S.A., with its registered office in
Bydgoszcz _the "Issuer"_, announces that the consortium comprising the
Issuer as the consortium leader and Transprojekt Gdański Sp. z o.o.,
with its registered office in Gdańsk, as a consortium partner, on April
17, 2026, entered into an agreement with BYDGOSKIE ZAKŁADY
ELEKTROMECHANICZNE "BELMA" S.A., with its registered office in Białe
Błota, ul. Łochowska 69, 86-005 Białe Błota.
The subject of this agreement is the performance of the duties of a
contract engineer, together with the provision of investor supervision
services during the preparation and implementation of an investment
project financed from the Capital Investment Fund under the name
"Development of the production capacity of Bydgoskie Zakłady
Elektromechaniczne BELMA S.A. for the needs of the National Security
Plan 'Eastern Shield' and the needs of the Polish Armed Forces."
The scope of the contract includes performing the functions of a
contract engineer, including management, coordination, supervision, and
settlement of the investment process, as well as exercising investor
supervision, monitoring the execution of works, tracking the schedule
and budget, and coordinating the participants in the investment process.
Expected completion date of the investment project and its settlement:
by December 31, 2027.
The consortium will receive a total gross payment of PLN 1,963,080.00
for the performance of the contract. The Issuer's share of this payment
will amount to approximately 95%.
The Issuer's Management Board deemed the above agreement to be material
due to its value and the fact that it may have a significant impact on
the Issuer's future financial and asset situation.
