The Management Board of MBF Group S.A., with its registered office in Warsaw _the "Issuer", the "Company"_, announces that the Issuer has provisionally entered into a commercial contract for the purchase of 3,000 tonnes of top-grade _top-grade_ in a volume of 3,000 tonnes from an entity forming part of the international industrial group Indorama Corporation, one of the global leaders in the fertiliser and chemicals production sector, with production and distribution assets in many markets worldwide. As at the date of publication of this report, the parties have agreed on the basic terms of the transaction; however, the counterparty's details and selected operational elements will be disclosed by the Company in an ESPI stock exchange report following full agreement on the logistical terms and obtaining the seller's consent to the publication of specific information, which is currently subject to further discussions between the parties. The estimated value of the contract has been determined on the basis of current market prices prevailing on the European market and amounts to approximately EUR 1,950,000 _in words: one million nine hundred and fifty thousand euros_, which corresponds to approximately PLN 8,268,000 _in words: eight million two hundred and sixty-eight thousand zlotys_ at an exchange rate of 4.24 PLN/EUR. In accordance with the contractual arrangements, payment for the goods will be made on a 100% prepayment basis, with the Issuer making payment at the time of loading the goods onto the means of transport _railway wagons_, which is standard practice in dealings with producers from the Central Asian region. The Company intends to finance the transaction from its own funds, with the option of utilising standard financial instruments offered by banking institutions. Further details regarding the pricing structure, delivery schedules, logistical terms and the parties' liabilities are subject to commercial confidentiality between the two companies. The Issuer's Management Board regards the conclusion of this contract as a significant operational success for the Company, particularly in the context of the current geopolitical situation and the limited availability of fertilisers on the European market. Urea remains a product in high demand in Poland and Europe, due to both market conditions and disruptions in global supply chains. In the Management Board's view, securing a stable supply source under such conditions strengthens the Issuer's commercial position and creates potential for further sales growth and expansion of operations. Deliveries will be made on the basis of the manufacturer's quality documents, including the quality certificate and technical documentation compliant with GOST 2081-2010, which confirms the product's commercial and industrial parameters. The product is standard granular urea used in agriculture and the chemical industry. In parallel with the process of finalising the logistics terms, the Issuer has commenced activities aimed at selling the contracted volume to end customers in Poland and other European countries. The preferred sales model will be the distribution of the entire volume to a single or limited number of wholesale customers, using DAP or FCA Małaszewicze delivery terms in accordance with Incoterms. The Company will provide updates on all key stages of the transaction via ESPI current reports. The Issuer's Management Board considers the contract to be significant from the perspective of the Company's operations, both in terms of its value and the potential for further development of the cooperation. In the event of the successful completion of the first delivery, the parties envisage the possibility of continuing the cooperation in the form of regular, monthly deliveries, which may translate into a stable source of revenue for the Issuer in subsequent periods. The Issuer's Management Board considered the publication of this information to be justified due to its potential impact on investors' assessment of the Company's financial position and development prospects.
