The Management Board of MBF Group S.A., with its registered office in Warsaw _the "Issuer"_, hereby announces that this report constitutes the disclosure of inside information, the publication of which has been delayed in accordance with Article 17_1_ of Regulation _EU_ No 596/2014 of the European Parliament and of the Council _MAR_ - inside information. The inside information was generated on 31 May 2026. Due to the need to carry out verification procedures regarding the authenticity of the documentation received, the status of the entities participating in the project and the persons representing the party initiating contact, as well as to protect the Issuer's legitimate interests, the Management Board decided to temporarily delay the disclosure of the inside information. Content of the delayed confidential information: The Management Board of MBF Group SA, with its registered office in Warsaw _"the Company", "the Issuer"_, hereby announces that on 31 May 2026, the Issuer received a direct invitation to participate in two international procurement procedures in the defence sector, covering the supply of a total of ten _10_ integrated Soft Kill Counter Unmanned Aerial Vehicle _C-UAV/C-UAS_ systems. Given the international nature of the project, its potential economic significance, the need to protect the Issuer's legitimate interests and the need to avoid the publication of unverified information, the Management Board decided to conduct a verification process comprising an analysis of the tender documentation, verification of the entity initiating contact, an assessment of its eligibility to participate in procurement procedures related to the defence sector, and verification of the persons representing that entity. In the course of these activities, the Issuer confirmed the authenticity of the documentation received, verified the status of the entity issuing the invitation, and confirmed its operation in the security and defence supply market. The individuals representing this entity, with whom the Issuer is in direct communication regarding the project, were also subject to verification. Among them are individuals with many years of experience in the defence sector, including a former Brigadier General of the Bangladesh Armed Forces, a graduate of the National Defence College and the Staff College, as well as the person responsible for business development and international cooperation at the entity issuing the invitation. The invitation was addressed to the Issuer by an entity based in Dhaka, in the People's Republic of Bangladesh, which has been operating for many years in the security and defence supply market and participates in procurement procedures carried out for the needs of that country's armed forces. This entity is registered with the Directorate General of Defence Purchase _DGDP_, the body responsible for conducting and managing procurement procedures for the Bangladesh Armed Forces. According to the verification carried out by the Issuer, this entity has experience in carrying out supplies and projects related to the defence sector and acts in the proceedings in question as a local participant in the procurement process responsible for cooperation with foreign suppliers and manufacturers. The documentation provided to the Issuer covers two separate procurement procedures concerning the supply of a total of ten integrated Soft Kill C-UAS systems. According to the requirements received, five systems are intended for the Bangladesh Army, whilst the remaining five systems are for units carrying out tasks related to United Nations missions. The subject of the enquiry covers advanced systems designed for the detection, identification, tracking and neutralisation of unmanned aerial vehicles, equipped, amongst other things, with airspace surveillance radars, radio signal detection and analysis systems, EO/IR observation heads, electronic jamming systems, spoofing systems, command and control _C2_ stations, as well as the necessary supporting infrastructure. The documentation received sets out detailed technical and operational requirements for the proposed solutions, characteristic of professional military systems for countering unmanned aerial vehicles. Following the completion of the initial verification process, the Issuer's Management Board decided to proceed with the preparation and submission of a bid and to commence organisational activities aimed at the Company's participation in the relevant procedures. In view of the above, the Issuer has commenced the organisation of a project team and the process of identifying, analysing and selecting technology partners, manufacturers, system integrators and subcontractors capable of meeting the technical requirements set out in the tender documentation. The Company intends, as a first step, to utilise the potential of the entities forming the ecosystem of cooperation developed by the Issuer in the field of UAVs, C-UAS, reconnaissance and electronic warfare systems, including in particular entities with which the Issuer has concluded cooperation agreements or is conducting advanced technological projects. This applies, amongst others, to Shark Aviation of the Republic of Turkey and Arka Aerospace of the Republic of India, although the Issuer does not rule out expanding the group of partners to include further domestic and foreign entities. In the coming days, intensive technical, organisational, operational and cost analyses will be carried out with a view to preparing a competitive bid that meets the requirements of the tender procedures. As at the date of publication of this report, the technical and commercial analyses related to the preparation of the bid have not been completed; however, the Management Board has decided to actively participate in the tender process and to continue discussions with technology partners and representatives of the entity leading the project on the Bangladeshi side. The Issuer's Management Board has classified the above information as confidential due to its potential economic significance, its alignment with the Company's ongoing business development strategy in the UAV and C-UAS sectors, the possibility of participating in tenders organised for the Bangladesh Army and units carrying out tasks as part of United Nations missions, the possibility of establishing cooperation with entities operating in the defence sector, as well as the potential impact on the further expansion of the Issuer's operations in international markets. In the Management Board's view, it is also significant that the invitation was addressed directly to the Issuer and was not obtained by the Company through standard market monitoring, which confirms the recognition of MBF Group S.A. and the expertise and business relationships it has developed in the field of UAV and C-UAS technologies in foreign markets. In the Management Board's view, the delay in publishing the inside information was justified by the protection of the Issuer's legitimate interests, did not mislead the public, and enabled the necessary verification of the documentation, entities and persons involved in the project prior to the information being made public. In accordance with Article 17_4_ of the MAR, immediately following the publication of this report, the Issuer shall notify the Polish Financial Supervision Authority of the delay in disclosing the confidential information in question, together with a written explanation setting out the grounds for such a delay.
