The Management Board of MBF Group S.A., with its registered office in Warsaw _the "Issuer", the "Company"_, with reference to ESPI Current Report No. 34/2026 of 5 June 2026 concerning the receipt of an invitation to participate in international procurement procedures in the defence sector and the commencement of preparations for the submission of a bid, hereby announces that, following discussions, correspondence and verification activities, the parties have established the framework for future cooperation and a schedule of activities aimed at concluding multi-stage commercial, technological and design agreements between the Issuer and a partner from Bangladesh operating in the defence and security market.The Issuer's partner is an entity registered with the Directorate General of Defence Purchase _DGDP_ of the Bangladesh Ministry of Defence and specialises in the coordination, representation, integration and implementation of projects related to defence, security, logistics, UAV and C-UAS technologies, surveillance systems and supplies for the armed forces and entities carrying out tasks related to United Nations missions. During the discussions, the parties agreed that cooperation should not be limited solely to participation in individual procurement procedures, but should encompass broader activities related to the identification, promotion, integration, technology transfer and supply of solutions for the defence, security, critical infrastructure and logistics sectors. The talks cover, among other things, potential cooperation in the areas of unmanned aerial vehicle _UAV_ systems, counter-UAV systems, surveillance and reconnaissance systems, command and control technologies, the modernisation of military equipment, special-purpose vehicles, dual-use technologies, research and development projects, and other solutions falling within the remit of the Issuer and its technology partners. At the same time, the Issuer informs that the partner from Bangladesh has presented MBF Group S.A. as a preferred foreign partner for the implementation of joint ventures, including potential projects related to supplies for the Bangladesh Armed Forces and units carrying out tasks within the framework of United Nations missions. In the Management Board's view, it is particularly significant that the initiative to establish cooperation was taken by the foreign party, which independently identified the Issuer as an entity possessing the expertise, experience and organisational capacity to carry out projects related to the defence, security and modern technology sectors. The parties have also agreed on a preliminary schedule for further activities, including the preparation and exchange of non-disclosure agreements _NDAs_, the organisation of joint working meetings, the preparation of documents governing commercial and technological cooperation, and the commencement of work on joint export and tender projects. In accordance with the agreed timetable, these activities include the exchange of NDA drafts within 3-5 days, the holding of working meetings, the preparation of a draft agreement governing the cooperation by 12 June 2026, and the completion of the first stage of formalising the cooperation by 14 June 2026. This timetable has been accepted by the Issuer. At the same time, the parties confirmed their intention to carry out organisational, technical and formal work in a manner enabling the preparation of documentation relating to the Issuer's participation in procurement procedures for which the deadline for the opening of tenders has been set for 17 June 2026. The Issuer's Management Board notes that Bangladesh belongs to a group of countries undergoing an intensive process of modernising their armed forces and developing technological capabilities as part of long-term modernisation programmes. At the same time, the country remains one of the largest contributors to United Nations peacekeeping missions, which generates a constant demand for modern technical, logistical and security solutions. In the Management Board's view, this creates promising conditions for the development of international cooperation and the Issuer's export activities. In the opinion of the Management Board of MBF Group S.A., the development of cooperation with foreign partners actively seeking the Issuer's expertise, technology and experience currently represents one of the most promising directions for the Company's development. A particularly significant factor is that the cooperation was initiated by a foreign entity, which approached the Issuer independently with a proposal for joint activities. In the Management Board's view, this confirms the growing recognition of MBF Group S.A. on international markets and the Company's potential to participate in high value-added export projects. The Management Board also believes that the development of international cooperation currently represents one of the most rational directions for the development of the Company's operations in the defence sector, particularly given the high level of competition from state-owned entities and entities with State Treasury shareholdings on the domestic market. In the Management Board's view, this cooperation may in future contribute to increasing the Issuer's participation in international research , export and technology projects, create opportunities for the transfer of Polish technical solutions to foreign markets, support the development of projects carried out by the Issuer and its partners, and open new channels for the commercialisation of products and technologies of interest to the Bangladeshi party. The Issuer also informs that, due to the multi-stage nature of the activities being carried out and the planned signing of several interrelated documents governing the cooperation between the parties, it is the Management Board's intention to issue a further current report only after the negotiations have been concluded and the full set of documents setting out the terms of cooperation has been signed. Should the counterparty's consent be obtained and there be no adverse impact on the parties' competitive position, the Issuer then intends to disclose the partner's full details and information regarding key personnel involved in the implementation of the cooperation. The Issuer's Management Board has deemed the above information to be confidential due to its potential impact on the further development of the Company's operations, opportunities for international expansion, the establishment of long-term business relationships, and the prospects for participation in future commercial, technological and defence projects.
