The Management Board of MBF Group S.A., with its registered office in Warsaw _"the Issuer", "the Company"_ hereby announces that on 17 June 2026 it received notification of the formal submission, via the Company's authorised representative in Bangladesh, of complete tender documentation in two tender procedures conducted by the Directorate General of Defence Purchases _"DGDP"_ - the Directorate General of Defence Procurement of the Ministry of Defence of the People's Republic of Bangladesh. The DGDP is the body responsible for conducting procurement procedures for the needs of the Bangladesh Armed Forces and selected programmes carried out for international missions. The Issuer explains that, within the submitted documentation, the Issuer acts as the prime contractor, the principal responsible for the bid, the consortium leader and the lead system integrator. The Company has submitted separate OEM Status, Prime Contractor and Lead System Integrator Declarations, indicating that the solution offered is not a ready-made product from a single external OEM manufacturer, but an integrated system developed, configured and supplied under the management and supervision of MBF Group S.A. The subject of both bids is the system offered under the name 'MBF SHARK Integrated Counter Unmanned Aerial Vehicle _C-UAV_ System - Soft Kill'. The system comprises, in particular, the following components: RF detection, protocol analysis, directional signal source detection, an EO/IR observation system, 3D radar, jamming systems, GNSS spoofing, command and control software, power supply, training, maintenance tools, consumables and after-sales support. The Issuer's authorised local representative in both tenders is The Blue Falcon, based in Dhaka, with DGDP supplier registration number 6158, represented by Brig-Gen A.T.M. Anisuzzaman Bir Protik _retired_, the company's founder and managing director. The Issuer has issued an authorisation certificate to The Blue Falcon, authorising that entity to represent MBF Group S.A. before the Directorate General of Defence Procurement of Bangladesh _DGDP_, to conduct tender correspondence, to submit documents and to participate in activities related to procurement and tender procedures. The first tender, designated DGDP Tender No. 221.583.25, concerns the supply of five sets of the Cat-2 Integrated Counter Unmanned Aerial Vehicle System _C-UAV System - Soft Kill_, i.e. an integrated system for countering Category 2 unmanned aerial vehicles in the soft-kill variant, intended for the Bangladesh Army. The second tender, designated DGDP Tender No. 221.584.25, concerns a similar supply of five sets intended for United Nations missions, to be procured under procurement procedures conducted by the Bangladeshi side. The value of each bid has been set by the Company at USD 27,091,500 _twenty-seven million ninety-one thousand five hundred US dollars_ as the Total LC Value, which includes the value of the systems, accessories, spare parts, tools and maintenance materials, freight, overseas and local training, installation, commissioning, testing and a contingency reserve. The total value of both bids submitted amounts to USD 54,183,000 _fifty-four million one hundred and eighty-three thousand US dollars_. At the same time, the Issuer's Management Board notes that the mere submission of bids does not imply the selection of the Company's bid, the conclusion of a contract or the creation of a claim on the part of the Company for the award of the contract. The tender procedures are subject to further formal, technical and financial evaluation conducted by the relevant contracting authorities. The Issuer will provide information on subsequent significant stages, in particular regarding the admission of a bid for further evaluation, the selection of a bid, the commencement of negotiations or the signing of a contract, in accordance with applicable law. Irrespective of The Blue Falcon's participation in the tender procedures in question, the Issuer is in discussions with that entity regarding the conclusion of a long-term strategic cooperation agreement covering the Issuer's commercial representation in the Bangladeshi market, the identification and development of projects in the defence and security sectors, dual-use technologies, and the supply of military equipment, individual soldier's gear, uniforms, unmanned systems and other military and military-related products. As at the date of publication of this report, the discussions remain ongoing, and no binding agreement in this regard has yet been concluded. The Management Board of MBF Group S.A. has deemed the above information to be material in view of the value of the bids submitted, the strategic nature of the C-UAV systems on offer, the Issuer's role as consortium leader and system integrator, and the potential for the selection of any of the bids to have a significant impact on the Company's future economic, financial and developmental situation.
