The Management Board of B-Act S.A., with its registered office in Bydgoszcz _the "Issuer"_, announces that the consortium consisting of: the Issuer as the consortium leader, Transprojekt Gdański Sp. z o.o., with its registered office in Gdańsk, as a consortium partner, Przedsiębiorstwo Usług Inwestycyjnych EKO-INWEST S.A., with its registered office in Szczecin, as a consortium partner, and ARX Group S.A., with its registered office in Grono, Switzerland, as a consortium partner, entered into an agreement on June 17, 2026, with the State Treasury - the General Director of National Roads and Motorways, Szczecin Branch of the General Directorate for National Roads and Motorways _"the Contracting Authority"_. The subject of the contract is the provision of services consisting of supervising the design and execution of works and managing the contract titled: "S6 Western Szczecin Bypass. Section 3: Police - Goleniów _from km 27+403 to km 50+810.20_." The scope of services includes, in particular, acting as the contract engineer, managing, administering, and supervising the execution of the construction contract, supervising the design and execution of the works in accordance with the terms of the contract, monitoring the progress of work, quality control, timeliness, and compliance of the project's implementation with the documentation and applicable regulations, as well as supporting the Contracting Authority in contract management and settlement. Under the contract, the minimum service period is 105 months, while the maximum service period is 129 months. The consortium's total gross remuneration under the contract amounts to 35,667,669.15 zlotys. The entire remuneration will be paid to the Issuer as the consortium leader. The financial results generated from the performance of the contract will be distributed in accordance with the provisions of the consortium agreement, in proportion to the scope of responsibility, obligations, and involvement of individual consortium members in the performance of the contract. The Issuer's Management Board has deemed the above contract to be material due to its value and the fact that it may have a significant impact on the Issuer's future financial and asset position.
