Execution of a framework agreement with Keyrock SG PTE. regarding OTC transactions in digital assets The Management Board of BTCS Spółka Akcyjna with its registered office in Warsaw, ul. Plac Powstańców Warszawy 2, 00-030 Warsaw, entered into the Register of Entrepreneurs of the National Court Register under KRS number 0000390734, ISIN code PLVKMTK00015 and LEI code 259400F1ML9OGF3R9703 _the "Issuer", the "Company"_, hereby announces that on 17 June 2026 it entered into a framework agreement with Keyrock SG PTE, a company incorporated under the laws of Signapore _"Keyrock"_, based on the ISDA _International Swaps and Derivatives Association_ standard documentation, governing the terms of entering into OTC transactions relating to digital assets, including derivative instruments _the "Agreement"_. The Agreement provides that the detailed terms of individual transactions will be specified on a case-by-case basis in separate transaction confirmations. Pursuant to the Agreement, the cooperation may include, in particular, forward transactions, options and other OTC structures relating to digital assets. Keyrock is among the global providers of liquidity and trading infrastructure for the digital asset market, serving institutional market participants. In the Company's opinion, the execution of the Agreement creates an operational and contractual framework for the implementation of more advanced digital asset management strategies and for managing market risk exposure associated with the digital assets held by the Company. At the same time, the Agreement expands the Issuer's ability to cooperate with international participants in the digital asset market. The execution of the Agreement does not automatically result in the commencement of any specific transactions or the achievement of any particular economic results. Decisions regarding the execution of individual transactions will be made separately by the Company, taking into account market conditions, risk parameters and the assessment of the profitability of particular strategies. The Management Board of the Issuer has deemed the above information to constitute inside information due to its significance for the further development of the Company's business in the digital asset sector, the expansion of the available digital asset management tools and its potential impact on the implementation of the Issuer's strategy.
