The Management Board of MBF Group S.A., with its registered office in Warsaw _the "Issuer", the "Company"_, hereby announces that on 22 June 2026 it received a framework cooperation agreement, signed by both parties, concluded between the Issuer and The Blue Falcon, with its registered office in Dhaka, Bangladesh _the "Partner"_. The Blue Falcon is an entity operating in the field of supplying military equipment, specialist equipment and solutions related to security and defence. The purpose of the agreement is to establish long-term principles of cooperation between the parties regarding the identification, preparation, tendering, negotiation and implementation of commercial and technological projects related to the defence sector, security, critical infrastructure protection, unmanned aerial vehicle _UAV_ and counter-UAV _C-UAS_ systems, individual soldier equipment, specialist vehicles, telecommunications systems, electronics, dual-use solutions and other products and services intended for military, government and institutional customers. The Issuer announces that, by mutual agreement, The Blue Falcon has been appointed as the Issuer's preferred and authorised representative in the Bangladeshi market within the scope of the agreement, whilst the Issuer has gained access to the Partner's local expertise, contacts and experience in dealing with public and military institutions and contracting authorities operating in the Bangladeshi market. According to information provided by the Partner, the company holds the status of a registered supplier to the Directorate General of Defence Purchases _DGDP_ of the Ministry of Defence of Bangladesh under registration number 6158 and holds trading licence TRAD/DNCC/078538/2022. The Partner also holds supplier authorisations and cooperates with a number of military and state institutions in Bangladesh, including the Naval Stores Sub-Depot _NSSD_ of the Bangladesh Navy, the Central Ordnance Depot _COD_ of the Bangladesh Army, the Directorate General of Medical Services _DGMS_, the Central Mechanical Transport Depot _CMTD_ of the Bangladesh Army, and the Border Guard Bangladesh _BGB_. Since 2022, The Blue Falcon has been involved in the supply of military and specialist products to the Bangladesh Army, the Bangladesh Air Force and the Bangladesh Navy, and has experience in handling procurement procedures conducted by Bangladesh's defence and security sector institutions. The agreement was signed on behalf of the Partner by Brigadier General A.T.M. Anisuzzaman Bir Protik, ndc, psc, MPhil, MBA, LLB _Retd_, founder and Chief Executive Officer of The Blue Falcon. General Anisuzzaman is a retired officer of the Bangladesh Armed Forces and a recipient of the 'Bir Protik' military decoration, one of the highest combat honours awarded by the State of Bangladesh. The conclusion of the agreement follows on from the activities described by the Issuer in current reports No. 37/2026 of 5 June 2026 and No. 41/2026 of 17 June 2026 concerning, respectively, the establishment of a framework for cooperation with a partner from Bangladesh and the submission of tenders in procurement procedures conducted by the Directorate General of Defence Procurement _DGDP_ of the Bangladeshi Ministry of Defence. The Management Board notes that the cooperation with the Partner has already led to the preparation and submission of two bids covering counter-unmanned aerial vehicle _C-UAV_ systems, and following the signing of the agreement, the parties have commenced an analysis of further projects and procurement enquiries originating from the Bangladeshi market. On the date of publication of this report, the Issuer received, via the Partner, a further enquiry from a Bangladeshi military institution regarding the possibility of supplying sniper rifle systems, together with equipment, optics, spare parts, training and technical support. Apart from participating in public and military tenders, the parties also intend to develop cooperation in the area of direct sales and the promotion of products and solutions offered by the Issuer and its partners, carried out outside tender procedures, to military, government, institutional and commercial customers in the Bangladeshi market. As at the date of publication of this report, the Issuer is unable to estimate the value of future revenue that may arise from the performance of the agreement. However, the Management Board considers that the agreement provides a solid foundation for the development of the Issuer's operations in the Bangladeshi market and enhances the Company's opportunities to participate in procurement procedures, commercial projects and technological initiatives carried out by public, military and institutional entities in South Asia. The Issuer's Management Board has classified the information regarding the conclusion of the agreement in question as confidential, given its potential impact on the development of the Issuer's business, the establishment of international sales channels, the potential to secure new contracts, and the potential impact on the Company's future economic and financial position.
