The Management Board of MBF Group S.A., with its registered office in Warsaw _"the Company", "the Issuer"_, hereby announces that on 22 July 2026, the Company received a document signed by the other party entitled "Memorandum of Understanding and Letter of Intent on Strategic Industrial and Technological Cooperation in UAV, Autonomous and Dual-Use Projects" _"Memorandum"_. The document was entered into between the Issuer and Defense Bridge Danmanlk Savunma Sanayi Ticaret Limited irketi, with its registered office in Ankara, Republic of Turkey _"Defense Bridge", "Partner"_, and is dated 19 July 2026. Defense Bridge is a Turkish company providing consultancy services and supporting the development of business cooperation in the defence, aviation, security and dual-use technology sectors. The Partner specialises in establishing international industrial partnerships, identifying manufacturers and technology suppliers, facilitating contacts with Turkish institutions and companies, supporting market entry, production localisation and supplier qualification, and coordinating cross-border defence projects. The purpose of the Memorandum is to establish a framework for industrial, technological and commercial cooperation. Potential areas for joint activities include, in particular: unmanned aerial vehicles, autonomous and multi-platform systems, swarm management technologies, C -UAS, loitering munitions, artificial intelligence and autonomous mission management, reconnaissance, command, communications and navigation systems, sensors, avionics and electronics, simulation and digital twins, as well as production, integration, testing, industrialisation and the development of international supply chains. Among the potential projects, particular mention was made of the IRYDA+ X1 system and related UAV platforms, other unmanned systems, C-UAS solutions, loitering munition platforms, reconnaissance and target acquisition systems, the integration of sensors and mission equipment, and training and simulation solutions. The memorandum does not limit cooperation to a single product, but lays the foundation for the development of further projects by the Issuer in the defence and dual-use sectors. In accordance with the agreed division of roles, MBF Group S.A. will be responsible for developing the Polish and European dimensions of the cooperation, including identifying companies, universities, research institutes and technology partners; organising contacts with institutions and potential users; preparing presentations and demonstrations; forming consortia and supporting the commercialisation of agreed projects. Defense Bridge, on the other hand, is to support the Issuer in gaining access to the Turkish defence ecosystem, identifying local industrial and technological partners, conducting analyses of cooperation opportunities, preparing integration and production concepts, and coordinating contacts with Turkish stakeholders. The parties intend to assess the potential for the production, assembly, integration and servicing of products; develop Polish-Turkish supply chains; prepare joint technological and industrial projects; organise presentations for potential users; and participate in international programmes, trade fairs, projects and procurement procedures. The memorandum contains provisions protecting intellectual property, confidential information and business contacts provided by the parties. The document does not entail the transfer of rights to technology, documentation, software, trademarks, production, distribution or commercialisation, and any specific technical, commercial or production cooperation will require separate arrangements. The Memorandum has been entered into for a period of three years. The Issuer's Management Board has deemed the conclusion of the Memorandum to be material information due to the formal expansion of industrial and technological cooperation, the acquisition of a partner responsible for developing relations with the Turkish defence ecosystem, and the opportunity to utilise this cooperation in the further commercialisation of the IRYDA+ X1 system and the development of the Issuer's subsequent projects in the areas of UAVs, autonomous systems, C-UAS, loitering munitions and dual-use technologies.
