The Management Board of MBF Group S.A., with its registered office in Warsaw _"the Issuer", "MBF"_ announces that on 23 July 2026 it entered into a framework agreement with SimFabric S.A., with its registered office in Warsaw _"SimFabric"_, concerning strategic, technological and product cooperation relating to the preparation, development and future commercialisation of the IRYDA Digital Twin Platform project _"Agreement", "Project"_. The Agreement is a binding framework agreement and is not merely a letter of intent. It sets out the principles of cooperation, the division of responsibilities, the initiation phase, the procedure for preparing the MVP _Minimum Viable Product_, i.e. the first operational, functionally limited version of the product intended to verify the Project's technological, user and business assumptions, the protection of intellectual property, a six-month period of exclusive negotiation rights, the rules for joint public communication, and the basis for concluding subsequent implementation agreements. The aim of the Project is to create a digital environment based on real unmanned systems developed within the IRYDA family. As a first step, the Parties intend to develop a joint technological core and an MVP based on IRYDA+ X1, and, ultimately, the development of a consumer game in the arcade and simulation-lite formats, a professional simulator or operator trainer, modules for managing individual platforms and UAV swarms, mission planning, analysis of operator activities, educational and research and development solutions, a Turkish version, and subsequent generations of products based on the IRYDA family. SimFabric has been selected by MBF as the preferred strategic partner for gaming, software development and publishing for the Project. MBF is responsible for the strategic and business coordination of the project, organising access to agreed expertise, documentation, real-world platforms, operator systems, testing, engineering teams and technology partners, as well as developing relationships with institutional clients, markets and potential sources of funding. SimFabric is responsible for preparing the Platform's architecture, the MVP definition document, budget options and the timetable, developing the product concept, and contributing expertise in software development, publishing, porting and distribution. In implementing the Project, SimFabric may draw on the expertise of its subsidiaries, in particular VRFabric S.A. and MobileFabric S.A., whilst SimFabric shall remain liable to MBF for their actions as if they were its own, and access by these entities to protected elements of the IRYDA Technology shall require the appropriate authorisations. The parties have agreed that, within 14 days of the conclusion of the Agreement, they will hold a kick-off workshop and establish a working group; whilst, within 30 days of the workshop, SimFabric, in collaboration with MBF, will prepare an MVP Definition Document covering, amongst other things, the functional scope, recommended technology, timetable, budget, financing plan, milestones, risks and proposed intellectual property rules. Following approval of this document, the Parties will proceed to negotiate the first implementation agreement. The agreement does not oblige MBF to finance the entire production on its own, nor does it oblige SimFabric to commence full-scale production before the budget has been approved. The financing model may include own funds, grants, research and development funding, an investor, a publisher, the issue of financial instruments or end-user financing. A detailed model for the sale, licensing, porting, distribution and maintenance of the Platform, as well as the allocation of future revenues, will be set out in subsequent agreements. The Parties have also confirmed that 'IRYDA' is the code name for a long-term technological ecosystem under development, rather than a designation for a single specific, closed product or solely the IRYDA+ X1 platform. This ecosystem is intended to encompass subsequent versions, variants and generations of physical and digital platforms, operator systems, artificial intelligence solutions, management of individual platforms and swarms, as well as gaming, simulation, training and demonstration products developed by MBF in collaboration with its technology partners and SimFabric. Individual products, modules, implementation versions and subsequent generations developed as part of the Project may in future be given separate code names, trade names or implementation names, which will constitute their final designations and will not affect the continuity or scope of the Parties' cooperation within the technological ecosystem described in the Agreement. The Agreement has been entered into for a period of three years. The Issuer's Management Board considers the conclusion of this Agreement to be significant in view of the formal commencement of cooperation with a partner possessing manufacturing, programming, publishing and distribution capabilities, as well as the opportunity to expand the IRYDA ecosystem to include digital, consumer, training, simulation and institutional products. The Issuer will provide updates on further significant stages of the Project's implementation
