Subject:Conclusion of a material agreementContent:
The Management Board of Carbon Studio S.A. with its registered office in Gliwice [the "Company", the "Issuer"] hereby announces that on 10 August 2026, a consortium comprising the Issuer and Hole sp. z o.o. with its registered office in Gliwice [the "Consortium"] entered into an agreement with Centrum Kultury Victoria in Gliwice [the "Cultural Centre"], the subject of which is, in particular, the comprehensive design and implementation by the Consortium of the multimedia and interactive artistic and educational installation "Interactive Gliwice", based on digital solutions, together with the implementation of a local, secure artificial intelligence system based on RAG architecture and Real-Time 3D engines [the "Agreement"]. Under the Agreement, the Issuer will be responsible in particular for the organisation of interactive stations, the delivery of IT solutions enabling real-time user interaction, the creation of digital characters and voice interfaces, as well as for local technology, hardware, software and their integration.The members of the Consortium agreed on an equal share of the net remuneration for the services provided to the Cultural Centre. The Issuer's total remuneration for the performance of the works will amount to PLN 113,150.00 net and will be paid in two instalments: the first upon execution of the Agreement and the second upon completion of the works and approval by the Cultural Centre of the report on their implementation.Under the Agreement, the Consortium will provide 24 months of technical support and a warranty for the digital solutions delivered, enabling their subsequent use. As part of the aforementioned remuneration, the Consortium has also granted an exclusive licence to use all materials and works created in connection with the performance of the Agreement. The Agreement entered into force on the date of its execution and will remain in force until all obligations of the parties arising thereunder have been fulfilled. The parties have scheduled the final completion of the works for 7 September 2026.The Management Board of the Issuer considered the above Agreement to be material due to its value and subject matter, which represents an expansion of the Issuer's existing portfolio of services into the area of digital solutions utilising interactive solutions, Real-Time 3D technologies and artificial intelligence. In the opinion of the Management Board, the performance of the Agreement may have a significant impact on the Company's financial and asset position in the future and may contribute to obtaining the necessary references facilitating cooperation on similar projects.Legal basis:Article 17_1_ of MAR - inside information.
