Conclusion of an agreement on strategic industrial, technological and commercial cooperation with ARMPOL Przedsiębiorstwo Innowacyjno-Wdrożeniowe - inclusion of the Iryda+ X1 system in the partner's offering for the defence sector The Management Board of MBF Group S.A., with its registered office in Warsaw _"the Issuer", "the Company"_ hereby announces that on 14 August 2026 it entered into an agreement on strategic industrial, technological and commercial cooperation _"the Agreement"_ with ARMPOL Przedsiębiorstwo Innowacyjno-Wdrożeniowe sp. z o.o., with its registered office in Krubki-Górki _"ARMPOL"_. ARMPOL is a Polish innovation and implementation company with many years' experience in the development, integration and manufacture of specialised equipment, including solutions for the defence, security, rescue and civil protection sectors. The solutions developed by ARMPOL also include containerised workshops designed to service vehicles operated by the Polish Armed Forces, containerised aviation workshops for servicing aeroplanes and helicopters, and solutions designed for field command posts and civil defence. The subject of the Agreement is the establishment of a three-year framework for cooperation between the Parties, covering in particular the inclusion of the Iryda+ X1 unmanned system - developed with the Issuer's participation - in ARMPOL's product range as an optional component of selected products and systems offered by that company. The Agreement also provides for the mutual presentation, recommendation and quotation of the Parties' products, the preparation of joint offers, conducting discussions with clients, technical integration analysis, and the possibility for the Parties to participate in procurement procedures, tenders, implementation projects, consortia and research and development projects. One of the key provisions of the Agreement is the planned inclusion of the X1 System in ARMPOL's product catalogue and price list as an optional solution subject to individual configuration and pricing. ARMPOL is authorised to present and promote the X1 System as part of its commercial activities, including in catalogues, information and promotional materials, and by including information about the X1 System in quotations submitted to customers. The Parties may also draw up binding Partnership Offers, whereby the technical specifications, configuration, prices, delivery times and other terms and conditions shall be agreed upon by the Parties on a case-by-case basis. The Agreement provides for a remuneration model for ARMPOL in the event of the sale of the X1 System through ARMPOL or to a customer acquired by ARMPOL. Thus, the Agreement not only establishes a framework for marketing and technical cooperation, but also a mechanism for the direct commercialisation of the X1 System through a partner sales channel. At the same time, the Issuer's Management Board announces that the Parties have identified three main areas for the potential integration and commercialisation of the X1 System. The first of these is integration with ARMPOL's special containers, enabling the development of, amongst other things, mobile command and control posts, operator stations for unmanned systems, transport and service containers, mobile workshops, parts warehouses, and centres for data collection, analysis and distribution. The second direction involves utilising the X1 System as an aerial reconnaissance, surveillance and patrol layer in the vicinity of a high-capacity mobile evacuation and crossing ferry. Potential applications include, in particular, reconnaissance of the crossing area, surveillance of both banks and access routes, patrolling the area where equipment and personnel are concentrated, monitoring the security zone, and transmitting data to the operator's station or command centre. The third area of cooperation involves the use of the X1 System with off-road transport systems and solutions related to engineering fortifications, including within the framework of the state programme 'Tarcza Wschód'. In this application, according to the literal provisions of the Agreement as stated by ARMPOL, the X1 System may support, amongst other things, route reconnaissance, observation of parking areas, loading and unloading, patrolling the operational area, and monitoring the surroundings of personnel and equipment. The Issuer's Management Board draws particular attention to the reference in the concluded Agreement to solutions relating to engineering fortifications, including the "Eastern Shield" programme, as one of the areas of potential application and joint tendering for the X1 System. In the Management Board's view, this creates an opportunity to undertake, together with ARMPOL, activities aimed at offering the X1 System as an optional layer of reconnaissance, surveillance, patrolling and security support for solutions used within the scope of this programme. The conclusion of the Agreement creates a new partnership-based channel for the Issuer to commercialise the X1 System. It can be presented as an optional component of larger solutions offered by ARMPOL to clients in the defence, security, public administration and critical infrastructure sectors. In the Management Board's view, such a cooperation model may be of significant importance for the further commercialisation of the X1 System. It enables the unmanned platform to be offered as part of a more comprehensive solution provided by a company with many years' experience in the special and defence sectors. At the same time, it allows ARMPOL to expand its own product range to include an unmanned component without having to design and develop its own UAV platform independently. Under the terms of the agreement, the Parties have also agreed to jointly present the X1 System at the MSPO 2026 International Defence Industry Exhibition in Kielce as an optional and complementary layer for reconnaissance, surveillance, patrolling, monitoring and security support for ARMPOL's products and systems. Representatives of both Parties will be able to hold joint discussions with interested customers. The inclusion of the X1 System in ARMPOL's catalogue and price list does not guarantee the achievement of a specific sales value or number of orders. The Issuer's Management Board regards the conclusion of the Agreement as a significant stage in the commercialisation of the X1 System, as it creates, for the first time, a formal opportunity to include the X1 System in the catalogue and price list of an external Polish industrial company with experience in the defence sector, and enables the X1 System to be presented as an optional component of larger systems offered by this partner. In the Management Board's view, this collaboration may also create an opportunity to secure, in the future, the first trial or implementation orders from customers in the defence sector, including as part of joint bids directed at the Polish Armed Forces. The Issuer's Management Board has classified the information regarding the conclusion of the Agreement as confidential information within the meaning of Article 7 of Regulation _EU_ No 596/2014 of the European Parliament and of the Council _"MAR"_ due to its significance for the commercialisation process of the Iryda+ X1 System, the creation of an additional sales channel, the formal possibility of including the X1 System in the industrial partner's catalogue and price list, the possibility of offering it as a component of larger systems intended for the defence sector, and the potential impact of the cooperation on the Issuer's future economic situation and development prospects.
