The Management Board of Proguns
Group S.A., with its registered office in Warsaw _the "Issuer"_,
announces that on 9 September 2026, the Issuer concluded a distribution
agreement _the "Agreement"_ with Faxtech Pty Ltd, based in Melbourne,
Australia _"Faxtech"_, under which the Issuer has been appointed the
exclusive distributor of Faxtech products in the territory of Poland.
The subject of the Agreement is the
distribution of products included in Faxtech's portfolio, covering in
particular specialist equipment intended for the defence sector and
uniformed services, including optoelectronic equipment, such as "Night
Eyes" nightvision monoculars together with related accessories.
The Agreement does not specify any
minimum value or minimum volume of orders that the Issuer is obliged to
fulfil during its term. Individual orders will be placed and executed
under the terms set out in the Agreement.
The Agreement has been concluded for
a period of 24 months, with the possibility of extension based on a
mutual written agreement of the parties. The Agreement sets out detailed
rules of cooperation between the parties, including the scope of the
Issuer's distribution activities, communication principles, regulatory
compliance obligations, and the rules governing the Issuer's
remuneration. Product prices will be determined in accordance with
Faxtech's offers or specifications, and the settlement currency will be
euro.
The Agreement does not specify any
minimum purchase value or guaranteed order volume. Each party may
terminate the Agreement with a threemonth notice period, as well as
with immediate effect in the event of a breach. Additionally, Faxtech
may terminate the Agreement with one month's notice in the event of
product withdrawal from sale.
Faxtech is an Australian supplier of
specialist equipment, providing a wide range of critical solutions for
the Australian and New Zealand armed forces, national security services,
state and federal law enforcement agencies, rescue services, and the
industrial sector. Faxtech specialises in designing, developing,
customising, and delivering advanced systems and products, and also
provides comprehensive services including quality control testing and
calibration, ongoing maintenance, technical support, and training.
Faxtech is a member of the
Australian Industry _ Defence Network _AIDN_ and the Australian Industry
Group _AiG_, and is an accredited supplier to all state and federal
agencies responsible for internal security.
The conclusion of the Agreement is
part of the Issuer's strategy to develop its distribution activities and
build competencies in the sale of specialist products intended for the
professional and institutional market, as communicated in the strategy
published on 12 March 2026 in current report ESPI No. 13/2026.
In the Issuer's opinion, the
conclusion of the Agreement represents an important step in the
development of the Issuer's operations in the defence products segment
and creates an opportunity to further expand the Issuer's offering with
specialist nightvision equipment solutions. At the same time, the scale
of the cooperation's impact on the Issuer's future financial results
will depend in particular on the acquisition and execution of orders
under the Agreement.
