The Management Board of MBF Group S.A., with its registered office in Warsaw _the "Issuer", the "Company"_, with reference to ESPI current report No. 41/2026 of 17 June 2026 concerning the submission of tenders in procurement procedures conducted by the Directorate General for Defence Procurement _"DGDP"_ of the Ministry of Defence of Bangladesh, numbered 221.583.25 and 221.584.25, as well as ESPI current report No. 42/2026 dated 22 June 2026 concerning the conclusion of a framework cooperation agreement with The Blue Falcon, with its registered office in Dhaka _"Partner"_, hereby announces that on 25 September 2026 it received information from the Partner enabling it to update the status of the aforementioned procedures and to determine the future direction of the cooperation. According to the information provided to the Issuer by the Partner, acting as the Company's authorised local representative in the proceedings in question, the tenders submitted under DGDP Tender No. 221.583.25 and DGDP Tender No. 221.584.25 were not admitted to the financial evaluation stage. According to information provided to the Issuer by the Partner, at the technical evaluation stage, the DGDP did not accept the documentation relating to the required ISO certificate submitted during the proceedings, which prevented the bids from qualifying for the next stage of the procedure. The Partner also informed the Issuer that it had not received from the DGDP any separate formal written notification, minutes or decision setting out the outcome of the tender evaluation. Should the Issuer receive any further official documentation from the DGDP concerning the proceedings in question in the future, it will analyse it and, if the information contained therein meets the criteria for confidential information, will disclose it in accordance with the applicable regulations. Consequently, the Issuer assumes that the Company's participation in both of the aforementioned procedures was concluded at the technical evaluation stage and that these procedures did not result in the conclusion of any contracts with the Issuer. In addition, the Issuer's Management Board hereby states that the termination of the Company's participation in the aforementioned procedures does not affect the validity of the framework cooperation agreement with The Blue Falcon, which the Issuer disclosed in ESPI Report No. 42/2026. The parties maintain their intention to further develop their cooperation, in particular in the defence and security sectors, dual-use technologies, and in the field of military and military-related solutions offered or developed by the Issuer in conjunction with its technological and industrial partners. As part of further discussions, the Partner confirmed its interest in actively developing the Company's and its contractors' drone projects in the Bangladeshi market, and in acting as a local partner in organising presentations of the solution to the relevant representatives of the armed forces and the state administration. In particular, the Partner identified the Bangladesh Army Headquarters, the Directorate General of Defence Procurement and the relevant technical departments of the Bangladesh Ministry of Defence as potential institutions with which discussions regarding the presentation and further evaluation of the system could be initiated. The Blue Falcon also confirmed its preliminary and non-binding interest in up to 10 IRYDA+ X1 systems intended for testing and evaluation purposes, and requested that the Issuer prepare a draft non-binding Expression of Interest. The partner has also declared its readiness to organise preliminary presentations and meetings with representatives of the relevant institutions, and to coordinate activities aimed at conducting a demonstration of the system for potential customers in Bangladesh. The Issuer will provide information in separate current reports regarding the conclusion of binding agreements, the receipt of orders, the commencement of formal procurement procedures, the conduct of significant demonstrations or the occurrence of other events meeting the criteria for confidential information. The Issuer's Management Board has deemed the publication of this information to be material due to the need to update the information provided in ESPI Report No. 41/2026 concerning proceedings conducted by the DGDP, as well as to confirm the continued validity and development of the strategic cooperation with The Blue Falcon described in ESPI Report No. 42/2026 and the potential to utilise this cooperation in the commercialisation of the Issuer's future solutions.
