The Management Board of MBF Group S.A., with its registered office in Warsaw _the "Issuer", the "Company"_, hereby announces that it has received, on 5 October 2026, a signed copy of the agreement dated 1 October 2026 concerning the sale and supply of automotive-grade urea. The Issuer's counterparty is a Norwegian company operating in the fuel and chemicals sector, with production and distribution facilities on the Norwegian market. The counterparty supplies fuels, lubricants and automotive chemicals, including products used to reduce exhaust emissions, serving, amongst others, customers in the transport and industrial sectors. The counterparty's identifying details remain undisclosed to protect the commercial interests of the parties and in accordance with the confidentiality provisions of the contract. The subject matter of the contract is the sale and delivery of 240 tonnes of high-purity, automotive-grade urea, manufactured in Europe, in ten consignments of 24 tonnes each. The goods are intended for automotive applications and the production of urea solutions used in exhaust gas treatment systems. The quality requirements are set out in the technical specification, which forms an integral part of the contract. The total net value of the contract for the agreed volume is EUR 219,540.00 _in words: two hundred and nineteen thousand five hundred and forty euros_. This amount covers the goods, transport to the agreed delivery point in Norway, and the handling of export customs clearance. According to the average exchange rate of the National Bank of Poland _NBP_ as at 5 October 2026, amounting to 4.3855 PLN/EUR, the value of the contract corresponds to approximately 962,800.00 PLN net _in words: nine hundred and sixty-two thousand eight hundred zlotys_. Settlements under the contract are made in euros. At the same time, the Issuer's Management Board announces that on 6 October 2026, the crediting of the initial prepayment under the contract to the Company's account was confirmed. The amount received is EUR 43,908.00 _in words: forty-three thousand nine hundred and eight euros_ and corresponds to the value of the first two consignments. The crediting of these funds signifies the fulfilment of the contractual condition for the commencement of deliveries and the start of the contract's execution. The Issuer has commenced the coordination of transport and the preparation of deliveries. The contract will be executed in batches, in accordance with the payment mechanism and the rules governing the organisation of shipments as set out in the contract. The parties have expressed an interest in continuing their cooperation following the successful completion of this contract. Subsequent orders will require separate agreement on commercial terms and the conclusion of appropriate contracts. The Issuer's Management Board considers this information to be material due to the value of the contract, the anticipated impact of its performance on the Company's revenue, and the significance of the cooperation for the development of sales of automotive-grade urea on the Scandinavian market.
