Signing of a Memorandum of Understanding Regarding the Commencement of Discussions and Planned Cooperation with CMCC Global The Management Board of BTCS S.A., with its registered office in Warsaw _the "Issuer"_, announces that it has signed a Memorandum of Understanding _MoU_ with CMCC Global SPC, acting on behalf of the Liberty Bitcoin Accumulation Fund _the "Fund"_, regarding the commencement of discussions and planned investment cooperation. CMCC Global is an international investment fund manager specializing in digital assets, operating since 2016 and recognized as one of the pioneers of blockchain investment in Asia. The Fund employs diversified investment strategies aimed at generating returns and increasing Bitcoin _BTC_ holdings. As part of the planned cooperation, the Issuer may participate as an anchor investor by subscribing for tokenized units in the Fund through the Bitfinex Securities platform. The project forms part of the development of the real-world and financial asset tokenization _RWA_ market, enabling the integration of blockchain technology into traditional investment structures. The planned cooperation is consistent with the Issuer's Active Treasury strategy, which focuses on the active management of BTC holdings, diversification of their utilization, and identification of additional sources of returns from its digital assets. The Memorandum of Understanding is substantially non-binding, and the implementation of the planned investment remains subject to further arrangements and the fulfillment of applicable formal and regulatory requirements. The Issuer's Management Board has classified this information as inside information due to the strategic significance of the planned cooperation and the potential expansion of the Issuer's activities into new forms of digital asset management. In the Management Board's assessment, the potential effects of implementing the cooperation may have a material impact on the Issuer's future financial performance, risk profile, and growth prospects, and consequently may influence investors' assessment of the value of its financial instruments.
