BTCS S.A.'s Participation as an Anchor Investor in the Liberty Bitcoin Accumulation Fund Managed by CMCC Global on the Bitfinex Securities Platform The Management Board of BTCS S.A., with its registered office in Warsaw _the "Issuer", the "Company"_, with reference to Current Report ESPI No. 29/2026 dated October 21, 2026, concerning the signing of a Memorandum of Understanding with CMCC Global SPC, hereby announces that the Issuer participated as an anchor investor _"Anchor Investor"_ in the first capital raising round of the Liberty Bitcoin Accumulation Fund _"LBAF", the "Fund"_, managed by CMCC Global. The Fund's first fundraising round closed on October 30, 2026. The Issuer contributed 100 BTC to the Fund, representing approximately 49% of the Company's BTC holdings as of September 30, 2026 _202.27 BTC, Current Report ESPI No. 32/2026_, and received Bitcoin-denominated fund units in exchange. The Fund units are tokenized using Hadron by Tether technology, and secondary market trading of these units on the Bitfinex Securities platform is expected to become available to eligible investors in November 2026, subject to the satisfaction of applicable formal and regulatory requirements. LBAF employs diversified investment strategies, including market-neutral strategies, aimed at generating additional Bitcoin _BTC_-denominated returns. According to the Fund's investment objectives, it targets an annual net return of between 8% and 12%, denominated in BTC. These figures represent the Fund's investment targets and do not constitute a guarantee of any particular investment performance. The Issuer is exposed to the risk of losing part or all of the BTC contributed to the Fund. Subscriptions and redemptions are processed through monthly dealing windows. The Fund is denominated entirely in Bitcoin. The investment forms part of the Issuer's Active Treasury strategy, which involves actively deploying its BTC holdings to generate additional digital assets and diversifying the methods used to manage its Bitcoin reserves. In its periodic financial reports, the Issuer will disclose the BTC contributed to the Fund separately from its directly held BTC. The Issuer's Management Board has classified the above information as inside information due to the value of the investment relative to the Company's BTC holdings and its potential impact on the management of the Company's digital assets, its risk profile, and its future financial performance.
